1. Introduction
Welcome to Okayahh. These Terms and Conditions ("Terms") govern your access to and use of the Okayahh website, application, and related services (collectively, the "Service") operated by Okayahh ("we," "us," or "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. We encourage you to read these Terms carefully before proceeding.
These Terms are effective as of March 3, 2026. Your continued use of the Service after any changes to these Terms constitutes your acceptance of such changes.
2. Description of Service
Okayahh is a personal OKR (Objectives and Key Results) tracking platform that helps you set, manage, and track your personal goals. The Service includes:
- OKR tracking: Tools to create, organise, and monitor your personal objectives and key results.
- AI coaching: An AI-powered coaching feature that provides suggestions, feedback, and advice related to your goals and objectives.
The Service is currently provided free of charge. We reserve the right to introduce paid features or subscription plans in the future, with reasonable notice to existing users.
3. User Accounts
To use the Service, you must create an account through our authentication provider, Clerk. By registering, you agree to the following:
- Accurate information: You will provide accurate, current, and complete information during registration and keep your account information up to date.
- Account security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.
- Eligibility: You must be at least 16 years of age to use the Service. By creating an account, you represent that you meet this requirement.
- One account per person: Each individual may maintain only one account. We reserve the right to remove duplicate accounts.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
- Use the Service in any way that violates any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.
- Use the Service to transmit any malicious code, viruses, or harmful data.
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
- Use automated scripts, bots, or scrapers to access the Service without our prior written consent.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use the AI coaching feature to generate content that is harmful, abusive, threatening, or otherwise objectionable.
We reserve the right to suspend or terminate your access to the Service if we reasonably believe you have violated any of these provisions.
5. AI Coaching Disclaimer
The AI coaching feature is designed to help you think through your goals, organise your objectives, and provide general suggestions about personal productivity and goal-setting. However, you should be aware of the following important limitations:
- Not professional advice: The AI coach does not provide professional advice of any kind. Its output is not a substitute for advice from a qualified therapist, counsellor, psychologist, financial adviser, medical professional, lawyer, or any other licensed professional.
- Informational only: All suggestions, recommendations, and feedback provided by the AI coach are for general informational and educational purposes only. They should not be relied upon as the sole basis for any important decision.
- Use at your own discretion: You acknowledge that you use the AI coaching feature entirely at your own risk and discretion. We make no guarantees about the accuracy, completeness, or usefulness of any AI-generated content.
- No duty of care: The provision of AI coaching does not create any professional-client relationship between you and Okayahh. We owe no duty of care to you in respect of the AI coaching output.
- Seek professional help when needed: If you are experiencing mental health difficulties, financial hardship, medical concerns, or legal issues, please consult with appropriate qualified professionals.
6. User Content
"User Content" means any data, text, or other information that you submit, post, or otherwise provide through the Service, including your objectives, key results, notes, and interactions with the AI coach.
- Ownership: You retain all ownership rights in your User Content. We do not claim ownership of your objectives, key results, or any other personal data you enter into the Service.
- Licence to us: By submitting User Content to the Service, you grant us a limited, non-exclusive, worldwide, royalty-free licence to use, process, store, and display your User Content solely for the purpose of providing and improving the Service. This licence exists only for as long as your content remains on the Service.
- Your responsibility: You are solely responsible for the User Content you submit. You represent that you have the right to submit such content and that it does not violate any third party's rights.
- Data deletion: If you delete your account, we will make reasonable efforts to delete your User Content from our active systems within a reasonable timeframe, subject to any legal obligations to retain certain data.
7. Intellectual Property
The Service, including its original content (excluding User Content), features, functionality, design, and underlying technology, is and remains the exclusive property of Okayahh and its licensors. This includes, without limitation:
- The Okayahh name, logo, and all related trademarks and service marks.
- The design, layout, and look and feel of the Service.
- All software, algorithms, and code that power the Service.
You may not copy, modify, distribute, sell, or lease any part of the Service or its content, nor may you reverse engineer or attempt to extract the source code of the Service, unless applicable law permits such activity regardless of this limitation.
8. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- In no event shall Okayahh, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Service.
- Our total aggregate liability to you for any claims arising out of or relating to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or fifty Australian dollars (AUD $50), whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
9. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms.
- Conduct that we reasonably believe is harmful to other users, us, or third parties.
- Extended periods of inactivity.
- Requests by law enforcement or government agencies.
- Discontinuation or material modification of the Service.
You may terminate your account at any time by deleting your account through the Service or by contacting us at the email address provided below. Upon termination, your right to use the Service will cease immediately.
Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.
10. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will make reasonable efforts to notify you, such as by posting a notice within the Service or sending an email to the address associated with your account.
Your continued use of the Service after any changes to these Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you should discontinue your use of the Service.
We encourage you to review these Terms periodically for any changes. The "Last updated" date at the top of this page indicates when these Terms were most recently revised.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia, without regard to its conflict of law provisions.
Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia. You agree to submit to the personal jurisdiction of such courts.
